Terms of Service

These Terms are an agreement between you ("Customer", "you") and MindValley LLC, a Wyoming limited liability company, 30 N Gould St Ste R, Sheridan, WY 82801, USA, operating the Syncy platform ("Syncy", "we"). By creating an account or using Syncy, you agree to these Terms.

1. The service

Syncy provides a WhatsApp-first shared inbox and CRM that lets businesses manage customer conversations across channels. Features depend on your plan and may change as we improve the product.

2. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be authorized to bind your business to these Terms.

3. Acceptable use

You agree to use Syncy lawfully and in line with the WhatsApp Business Platform and Meta policies. You must not:

Violations may result in suspension or termination, and you are responsible for messaging you send through the service.

4. WhatsApp & third parties

Syncy relies on the official WhatsApp Business Platform and other third-party services. Your use of WhatsApp is also subject to Meta's terms and policies. We are not responsible for outages, changes, pricing, or decisions made by Meta or other providers. WhatsApp is a trademark of Meta Platforms, Inc.; Syncy is independent and not endorsed by Meta.

5. Fees & messaging charges

Paid plans are billed in advance on a recurring basis. In addition to subscription fees, messaging sent through WhatsApp is charged according to Meta's per-message rates, which you fund through your account. Fees are non-refundable except where required by law or expressly stated. We may change pricing with reasonable notice.

6. Customer data

You retain ownership of your data and your end customers' data. You grant us the rights needed to operate the service. Our handling of personal data is described in our Privacy Policy and Data Processing Addendum. You are the controller of your end customers' data and are responsible for having a lawful basis and valid opt-in to message them.

7. Availability

We work to keep Syncy available and reliable but do not guarantee uninterrupted service. We may perform maintenance and will aim to minimize disruption.

8. Intellectual property

Syncy, its software, and branding are owned by MindValley LLC. These Terms grant you a limited, non-exclusive, non-transferable right to use the service; no other rights are granted.

9. Termination

You may cancel at any time. We may suspend or terminate accounts that violate these Terms or the law. On termination you can export your data for a reasonable period before deletion.

10. Disclaimers & liability

The service is provided "as is" without warranties of any kind to the maximum extent permitted by law. To the extent permitted by law, MindValley LLC is not liable for indirect or consequential damages, and our total liability is limited to the fees you paid in the 12 months before the claim.

11. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules, unless a mandatory local law applies to you.

12. Changes

We may update these Terms; material changes will be posted here. Continued use means you accept the updated Terms.
